1. Scope
These Terms and Conditions apply to all contracts between AFTERWORK Region Stuttgart (Operator OMC Events-Marketing & e-Communication UG) and the advertiser (client), unless otherwise expressly agreed in writing.
2. Subject Matter
The subject matter includes advertisements, sponsoring, banner/display placement, and editorial contributions, as described in the Media Kit PDF (e.g., reach, formats, and durations).
3. Conclusion of Contract
The order is considered binding upon written order confirmation. • Verbal or telephone agreements require written confirmation to be effective.
4. Scope of Services
The specific services (ad volumes, placement, duration, print/online presence, frequency, etc.) are defined in the individual offer. • Changes after printing or going live are only valid with written consent and may incur additional costs. • For digital services (e.g., banners, newsletters), agreed durations apply from the start of placement. In case of technical disruptions beyond OMC’s control, a replacement placement may be provided.
5. Prices & Payment
The prices stated in the offer (net/gross) are valid. • Invoicing takes place after publication or at the start of the term. • Payment term: 14 days net from the invoice date, unless otherwise agreed. • In case of default in payment: default interest according to § 288 BGB. • In case of justified doubts about the client’s solvency, OMC may make further services (e.g., online advertising) dependent on an advance payment or the settlement of outstanding amounts. • Optionally, a 2% discount may be granted for payment within 8 days.
6. Cancellation / Withdrawal
Up to 4 weeks before publication or campaign start: free of charge. • Up to 2 weeks before: 50% of the net price. • Later: full remuneration. • Goodwill arrangements can be agreed individually. • The deadlines apply equally to print and online campaigns.
7. Material Delivery
The customer delivers print-ready files (observe formats, sizes, deadlines from media data). • In case of late or incorrect delivery: the customer bears liability and costs. • The organization of proofs lies with the publisher/medium. • For online ads, the following requirements apply: file formats JPG, PNG, GIF, HTML5; maximum file size 150 KB. Deviating formats require approval. • In case of delayed material delivery, OMC may postpone or cancel the placement.
8. Liability / Warranty
The provider is liable for anticipated damages only in cases of intent or gross negligence. • In cases of slight negligence, liability is limited to foreseeable damages typical for the contract, only for breaches of essential contractual obligations (cardinal obligations). • For digital services, OMC assumes no liability for disruptions beyond its control (e.g., server failures, ad blockers, platform restrictions).
